Growth Scorecards and similar deliverables are diagnostic tools based on information you provide. They represent our professional assessment and recommendations but are not guarantees of specific business results.

The quality and accuracy of our deliverables depend on the accuracy and completeness of the information you provide. GBH is not responsible for recommendations based on inaccurate or incomplete information.

Our Growth Scorecards and consulting recommendations are strategic in nature. They do not constitute legal, financial, medical, or accounting advice. You should consult appropriate professionals for such matters.

8. Disclaimer of Warranties

In no event shall our total liability to you for all claims arising out of or related to the Site or services exceed the amount you paid to GBH in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

You agree to indemnify, defend, and hold harmless Global Blue Health, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

- Your violation of any third-party right, including any intellectual property or privacy right

11. Governing Law
These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal proceedings, you agree to first contact us at legal@globalbluehealth.com to attempt to resolve any dispute informally. We will try to resolve the matter within 30 days.
12.2 Binding Arbitration
If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Florida. The arbitrator’s decision shall be final and binding.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
12.4 Exceptions
Either party may bring an action in court for injunctive relief related to intellectual property infringement or misappropriation without first engaging in arbitration.
13. Termination
We may terminate or suspend your access to the Site and services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Site will immediately cease. Sections that by their nature should survive termination shall survive, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
15. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by GBH to be effective.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and Global Blue Health regarding your use of the Site.

We reserve the right to modify these Terms at any time. When we make changes:
